Welcome to the Audio Icon Artist Spotlight program (“Artist Spotlight”). These Terms & Conditions (“Terms”) govern your participation, submissions, and use of the Artist Spotlight platform operated by Audio Icon (“Audio Icon,” “we,” “our,” or “us”).
By submitting any content, materials, media, information, or creative works to Artist Spotlight, you acknowledge that you have read, understood, and agreed to these Terms in full.
1. Eligibility
Artist Spotlight is open to musicians, vocalists, producers, engineers, creators, performers, bands, collectives, and creative collaborators worldwide.
By participating, you represent and warrant that:
• You are at least eighteen (18) years old, or have the consent of a parent or legal guardian.
• All submitted information is truthful and accurate.
• You possess full legal authority to submit the content.
• Your participation complies with all applicable laws and regulations.
• Your submission does not violate the rights of any third party.
Audio Icon reserves the right to reject, suspend, remove, or disqualify any participant or submission at its sole discretion.
2. Submission Requirements
Submissions may include audio recordings, music compositions, videos, vocals, instrumentals, artist names, social handles, images, logos, promotional materials, biographies, streaming links, and other creative materials.
Submissions must not contain:
• Copyrighted material you do not own or control
• Uncleared samples, beats, instrumentals, or recordings
• Unauthorized use of third-party images, trademarks, logos, or likenesses
• Defamatory, fraudulent, obscene, hateful, discriminatory, or unlawful material
• Harmful code, malware, phishing attempts, or malicious links
• Misleading or deceptive information
• Content that violates platform rules or intellectual property laws
Audio Icon may remove, reject, restrict, or disqualify any submission without notice or explanation.
3. Ownership & Rights Representations
You retain ownership of your original content.
By submitting content, you represent and warrant that:
• You own or control all rights necessary to submit the content.
• You have secured all permissions, licenses, releases, approvals, and authorizations required from collaborators, producers, engineers, performers, photographers, videographers, labels, publishers, managers, or any other third parties.
• Your submission does not infringe or violate any copyright, trademark, publicity right, privacy right, contract right, or other proprietary right.
• No portion of your submission is subject to unresolved ownership or royalty disputes.
Audio Icon does not verify ownership, licensing status, authenticity, or rights clearance and expressly relies on your representations.
4. AI-Generated & AI-Assisted Content
If any AI tools, models, software, or platforms were used in the creation of your submission, you represent and warrant that:
• Your use complies with all applicable laws and platform terms.
• You possess all rights necessary to submit and license the resulting content.
• The submission does not unlawfully imitate, clone, simulate, or exploit the voice, likeness, identity, or distinctive characteristics of any person without authorization.
Audio Icon reserves the right to reject or remove AI-generated or AI-assisted content at its sole discretion.
5. License Granted to Audio Icon
By submitting content, you grant Audio Icon a perpetual, worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, display, reproduce, publish, distribute, transmit, stream, promote, advertise, edit, crop, resize, archive, excerpt, repost, and otherwise exploit your submission, in whole or in part, across any media or platform now known or later developed.
This includes use in:
• Websites
• Social media
• Paid advertisements
• Email campaigns
• Marketing materials
• Editorial content
• Promotional videos
• Printed materials
• Future promotional campaigns
This license also includes the right to use your artist name, stage name, image, likeness, biography, voice, logos, social handles, and related materials in connection with Artist Spotlight and Audio Icon promotional activities.
Audio Icon is not obligated to provide attribution, notice, compensation, royalties, or approval for authorized uses unless explicitly agreed in writing.
6. No Compensation or Business Relationship
Participation in Artist Spotlight does not create any partnership, sponsorship, employment relationship, management agreement, agency relationship, endorsement agreement, publishing agreement, or record deal between you and Audio Icon.
Selection, reposting, promotion, featuring, communication, or interaction with Audio Icon does not guarantee:
• Compensation
• Royalties
• Exposure
• Audience growth
• Career advancement
• Business opportunities
• Future collaboration
Unless explicitly stated in writing, participation is voluntary and unpaid.
7. Editorial Discretion
Audio Icon maintains full editorial discretion over Artist Spotlight.
Audio Icon reserves the unrestricted right to:
• Select or reject submissions
• Edit formatting, descriptions, or presentation
• Remove content
• Limit visibility
• Suspend participation
• Feature or stop featuring creators
• Modify the operation or structure of Artist Spotlight
Audio Icon is under no obligation to explain selection, rejection, removal, or promotional decisions.
8. No Verification or Monitoring Obligation
Audio Icon does not actively monitor, verify, investigate, or authenticate:
• Ownership claims
• Copyright status
• Licensing rights
• Collaboration permissions
• Sample clearances
• Artist identity
Audio Icon is not responsible for disputes between artists, collaborators, producers, labels, publishers, managers, distributors, or other third parties.
Audio Icon has no obligation to proactively monitor or remove allegedly infringing content.
9. No Confidential Submissions
All submissions are provided voluntarily and on a non-confidential basis.
Audio Icon does not accept or assume any obligation of confidentiality regarding submitted materials, ideas, concepts, creative direction, marketing suggestions, or other content.
You acknowledge that Audio Icon may already be developing, reviewing, or independently creating materials similar or identical to your submission, and you waive any claim arising from such similarities.
10. Copyright Complaints & DMCA Policy
Audio Icon respects intellectual property rights.
If you believe content submitted to Artist Spotlight infringes your rights, you may submit a written complaint including:
• Your contact information
• Identification of the allegedly infringing material
• Proof of ownership or authorization
• A statement made under penalty of perjury that the complaint is accurate
Audio Icon reserves the right to remove allegedly infringing content without notice.
Repeat infringers may be permanently restricted or banned.
11. Third-Party Platforms
Artist Spotlight may include links, embeds, or integrations from third-party platforms including social media and streaming services.
Audio Icon is not responsible for:
• Removed content
• Broken links
• Platform takedowns
• Copyright strikes
• Account suspensions
• Demonetization
• Streaming restrictions
• Platform enforcement actions
or any actions taken by third-party services.
12. Submission at Your Own Risk
You voluntarily submit materials at your own risk.
Audio Icon is not responsible for unauthorized copying, redistribution, reposting, downloading, or misuse of publicly displayed content by third parties.
13. Disclaimer of Warranties
Artist Spotlight is provided “as is” and “as available” without warranties of any kind.
Audio Icon makes no guarantees regarding:
• Selection
• Exposure
• Reach
• Audience growth
• Commercial success
• Career advancement
• Platform availability
• Content preservation
• Continuous operation
To the maximum extent permitted by law, Audio Icon disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law, Audio Icon and its affiliates, officers, employees, contractors, licensors, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to:
• Participation in Artist Spotlight
• Submitted content
• Copyright disputes
• Third-party claims
• Platform interruptions
• Content removal
• Promotional use
• AI-generated content
• Third-party platform actions
In all circumstances, Audio Icon’s total aggregate liability shall not exceed one hundred U.S. dollars ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Audio Icon and its affiliates, owners, officers, employees, contractors, partners, successors, and representatives from and against any and all claims, demands, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
• Your submission
• Your participation in Artist Spotlight
• Breach of these Terms
• Copyright infringement claims
• Trademark claims
• Publicity or privacy claims
• Unauthorized samples or instrumentals
• Ownership disputes
• Unauthorized use of third-party content
• AI-generated or AI-assisted content disputes
• Violations of law or platform rules
These obligations survive termination and removal of content.
16. Reservation of Rights
Except for the limited rights expressly granted herein, Audio Icon retains all rights, title, and interest in and to Artist Spotlight, the Audio Icon brand, website, platform, services, trademarks, graphics, logos, and related materials.
Nothing in these Terms grants participants ownership rights in Audio Icon intellectual property.
17. Termination
Audio Icon reserves the right to suspend, restrict, or terminate access to Artist Spotlight at any time, with or without notice, for any reason or no reason, including suspected violations of these Terms.
18. Force Majeure
Audio Icon shall not be liable for any delay, interruption, failure, or inability to perform resulting from causes beyond its reasonable control, including technical failures, internet outages, cyberattacks, labor disputes, governmental actions, natural disasters, pandemics, platform failures, or third-party service interruptions.
By participating in Artist Spotlight, you acknowledge and agree that Audio Icon may collect, store, process, and use information you provide, including but not limited to:
• Name
• Artist name
• Email address
• Social media handles
• Streaming links
• Submitted media
• IP address
• Device and browser information
• Submission activity
• Communication history
Audio Icon may use this information for:
• Artist Spotlight administration
• Communication regarding submissions
• Marketing and promotional campaigns
• Product announcements
• Artist opportunities
• Email newsletters
• Advertising and retargeting campaigns
• Analytics and platform improvement
• Customer support
• Internal business operations
By submitting your information, you consent to receive marketing, promotional, and operational communications from Audio Icon. You may opt out of marketing emails at any time using the unsubscribe link included in communications.
Audio Icon may use third-party platforms and service providers for email delivery, analytics, advertising, cloud storage, customer management, and operational support.
Audio Icon does not sell personal information for monetary compensation. However, certain information may be shared with service providers or advertising partners as reasonably necessary to operate, market, and improve Artist Spotlight and related services.
Your information may be stored and processed in the United States or other jurisdictions where Audio Icon or its service providers operate.
19. Privacy & Marketing Communications
20. Governing Law
These Terms shall be governed by and interpreted under the laws of the State of California, without regard to conflict of law principles.
21. Dispute Resolution
Any dispute arising from or relating to Artist Spotlight or these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) in Los Angeles County, California.
You waive:
• Jury trial rights
• Class action participation
• Class-wide arbitration
All disputes must be brought individually.
Notwithstanding the foregoing, Audio Icon may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
22. Severability
If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.
23. Waiver
Failure by Audio Icon to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
24. Entire Agreement
These Terms constitute the entire agreement between you and Audio Icon regarding Artist Spotlight and supersede all prior discussions, communications, or understandings relating to participation.
25. Electronic Acceptance
By checking any submission box, clicking submit, uploading materials, or otherwise participating in Artist Spotlight, you agree that such actions constitute your electronic acceptance of these Terms.
26. Modifications
Audio Icon reserves the right to modify, update, suspend, or discontinue Artist Spotlight or these Terms at any time without prior notice.
Continued participation after modifications constitutes acceptance of the updated Terms.
